Mount Hood's main objective is to help our portfolio companies succeed, so we all succeed. Our intention is to align the interests of management, existing shareholders and Mount Hood as well as we possibly can, and to provide our management teams with practical, experience-based help.

Mount Hood favors simple deal structures, with common stock as its preferred investment. We believe that the deal structures we have proposed, using common stock, protect the interests of Mount Hood and its investors, but minimize the conflict that has arisen in many deals between management and investors holding preferred stock, because of liquidation preferences and other terms that sometimes create unintended incentives on both management and investors.
